  • Restructured, rewrote, and simplified processes for all master software license and cloud services agreements for numerous technology companies
  • Negotiated and drafted VAR agreements between a venture-backed developer of high-performance multi-service data center-class security gateway applications and major European and Japanese distributors
  • Advised a start-up manufacturer of optical telecommunications switches on intellectual property protection issues and licensing strategies, and prepared master hardware purchase, software license, and maintenance service agreements
  • Prepared and negotiated three-party source code and OEM agreements for a private company with a leading desktop connectivity software company and a global leader in electronics and electrical engineering for the adaptation and distribution of power monitoring software
  • Negotiated and drafted OEM agreements between a developer of video transport software solutions and a global communications service provider for use in the cable television, satellite and telecommunications industries
  • Prepared and negotiated of a series of strategic partnership agreements between a venture-backed developer of three dimensional earth visualization software and a leading supplier of satellite images and aerial photography
  • Served as lead legal negotiator for a global leader in power availability solutions for a software development and marketing agreement with Microsoft for the inclusion and distribution of power protection software in Windows® operating system

Business

  • Developed independent contractor agreements and advised on employment-related matters, such as nondisclosure/confidentiality, noncompetition, and intellectual property protection for numerous companies
  • Advised on and negotiated office share agreements and commercial leases for offices, retail stores, and health care facilities
  • Prepared limited liability partnership and company agreements for start-up enterprises
  • Advised family businesses on the restructuring of company assets to better facilitate business succession planning

Individuals

  • Advised numerous business people and executives on provisions in independent contractor and employment contracts, including on noncompete terms, confidentiality requirements, separation/severance terms, and intellectual property ownership
  • Developed and prepared estate plans for individuals and families involving matters such as business and real estate ownership, charitable giving, digital and intellectual property assets, and dependents with special needs
